1. Agreement to Terms

By accessing or using NoAdmin, a service operated by BaseBranch LLC ("we," "us"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

2. Description of Service

NoAdmin provides tools for mental health professionals and therapists to generate invoices based on calendar events. Services include the "NoAdmin Venmo Bridge" Chrome Extension, which facilitates the import of transaction history from Venmo for accounting purposes. NoAdmin also offers NoAdmin Notes, a desktop and mobile application that records a clinician's spoken debrief, transcribes it on the device, and helps structure and sign session notes. NoAdmin Notes stores your notes locally on your own device (see Section 8); we do not host them. We provide these services "as is" and do not guarantee that they will be error-free or uninterrupted.

3. User Accounts

You are responsible for safeguarding the password that you use to access the service and for any activities or actions under your password. We use Clerk for secure authentication, and you agree to provide accurate and complete information during registration.

4. Acceptable Use

You agree not to misuse the service. This includes, but is not limited to:

• Using the service for any illegal purpose.
• Attempting to bypass security measures.
• Generating fraudulent invoices.

5. Limitation of Liability

To the maximum extent permitted by law, NoAdmin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service.

6. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

8. NoAdmin Notes: On-Device Records and Your Responsibilities

NoAdmin Notes stores your session notes and anything you enter (which may include Protected Health Information about your clients) locally on your own device, encrypted at rest. We do not receive, host, or have access to readable copies of these notes, and syncing between your own devices happens directly device-to-device over your local network, not through our servers. Accordingly:

• You are the custodian of your records. You are responsible for the security of your devices (for example, FileVault disk encryption and a strong login password) and for meeting your professional, legal, and payer obligations, including client-record retention requirements.
• You are responsible for your own backups. Your notes live only on your device, encrypted with a key in your device keychain. A full system backup or migration (for example, Time Machine or Migration Assistant on macOS) carries both the notes and that key to a replacement device, and you can also keep an independent copy by syncing to a second device running NoAdmin Notes; copying the notes files alone is not a backup, because they cannot be decrypted without the key. If you keep no backup and no synced copy, a lost, damaged, stolen, or reset device may result in permanent, unrecoverable loss of your notes. A built-in, verified backup and restore feature is planned but not yet available.
• No warranty of clinical or regulatory suitability. NoAdmin Notes is a documentation aid provided "as is." It is not a substitute for your professional judgment and does not provide clinical, legal, or compliance advice. We do not warrant that it satisfies the requirements of any licensing board, payer, or law applicable to your practice; determining suitability is your responsibility.
• No Business Associate Agreement. Because we never receive or store your notes or your clients' Protected Health Information, we do not act as a "business associate" with respect to NoAdmin Notes, and no Business Associate Agreement is required or offered for it.

The limitation of liability in Section 5 applies to NoAdmin Notes, including any loss of notes or data.
